Introduction and Acceptance

These Terms of Service govern your access to and use of the website located at www.chinaedu.mom and the education services provided by Chinese Education (Group) Limited, a company incorporated in Hong Kong. Throughout these terms, the words we, us and our refer to Chinese Education (Group) Limited, and the words you and your refer to the individual using the website or services.

By accessing or using the website, by creating an account, or by enrolling in any program, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the website or the services. In these Terms of Service, the following definitions apply. Accounts and Registration

You agree to provide accurate and current information when registering and to update that information promptly if it changes. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree not to share your account credentials with any other person and not to use another user account. If you create an account, you are responsible for any activity that occurs through that account, whether or not you authorized it.

You must notify us immediately if you become aware of any unauthorized use of your account. We are not liable for any loss that arises from your failure to keep your credentials secure or from any unauthorized access to your account.

Use of the Service

We grant you a limited, non exclusive, non transferable and revocable license to access and use the website and services for your personal, non commercial educational use. This license does not permit you to copy, modify, distribute, sell or create derivative works from the Content, except as expressly authorized in writing.

Course Enrollment and Access

When you enroll in a program, you agree to pay the applicable fees and to complete the program in accordance with the published schedule and requirements. Enrollment in a program is subject to availability and to our acceptance of your application. We may limit the number of students in a program and may cancel or reschedule sessions where necessary.

Access to online materials is granted on a per user basis and may not be shared. Where a program includes live sessions, your continued access may depend on your attendance and participation. We reserve the right to update course content and schedules to keep programs current and accurate.

Upon successful completion of a program and satisfaction of its requirements, we may issue a certificate or other recognition. The form and terms of any such certificate are determined by us and may change from time to time.

Payments and Fees

All fees for programs and services are stated at the time of purchase. Unless otherwise indicated, fees are payable in full before access to the program is granted. We may use third party payment processors to handle transactions, and those processors have their own terms and policies.

Refunds, if any, are governed by the refund policy applicable to the specific program, which will be communicated to you at the time of enrollment. We reserve the right to change fees for future programs, but a change will not affect a program for which you have already paid.

You are responsible for providing accurate billing information and for any taxes or charges imposed by your jurisdiction in connection with your purchase. If a payment is declined or reversed, we may suspend your access to the affected program until the outstanding amount is settled.

Intellectual Property

The website, the services and all Content are owned by Chinese Education (Group) Limited or our licensors and are protected by copyright, trademark and other intellectual property laws. Our name, the Chinese Education name and related logos are trademarks of the Company and may not be used without our prior written consent.

Nothing in these terms grants you any ownership interest in the website, the services or the Content. All rights not expressly granted in these terms are reserved. Any unauthorized use of our intellectual property may result in the termination of your access and may give rise to legal action.

You may print or download Content for your own personal study, provided you keep all copyright and other notices intact. You may not use Content for any commercial purpose or share it with individuals who are not enrolled in the relevant program.

Acceptable Use Policy

You agree not to misuse the services. In particular, you agree not to use the services to upload or transmit any unlawful, harmful, threatening, defamatory or infringing material; to interfere with or disrupt the operation of the services; to attempt to gain unauthorized access to our systems or the accounts of other users; or to engage in any activity that violates applicable law.

You also agree not to scrape, harvest or otherwise collect data from the website without permission, and not to use any automated means to access the services in a manner that imposes an unreasonable load on our infrastructure. You are solely responsible for the User Content you submit and for ensuring that it does not infringe the rights of any third party. You represent that you have all necessary rights to submit your User Content and to grant the license described above.

We reserve the right to remove User Content that we believe violates these terms or applicable law, but we have no obligation to monitor all content. We are not responsible for the accuracy or appropriateness of User Content submitted by other users.

Privacy

Our collection and use of your personal information is described in our Privacy Policy, which is available on this website and forms part of these terms by reference. By using the services, you consent to the practices described in the Privacy Policy.

Where our liability cannot be excluded, our total liability to you for any claim arising out of or relating to these terms or the services will not exceed the amount you paid to us in the twelve months preceding the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

The limitations in this section apply regardless of the theory of liability, whether based on contract, tort, negligence, strict liability or otherwise, and even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless Chinese Education (Group) Limited and its directors, officers, employees and agents from and against any claims, damages, liabilities, costs and expenses, including reasonable legal fees, arising out of your use of the services, your User Content, or your violation of these terms or the rights of any third party.

This obligation survives the termination of your account and your use of the services. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of the matter.

Termination

We may suspend or terminate your access to the services, in whole or in part, at any time and without prior notice, if we believe you have violated these terms or if we are required to do so by law. Upon termination, your right to use the services will cease immediately.

You may stop using the services at any time. If you wish to delete your account, you may contact us using the details in the Contact Information section. We will process deletion requests in accordance with our Privacy Policy and applicable law.

Provisions of these terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability and indemnification, will continue to apply after termination.

These terms, together with our Privacy Policy and any program specific terms, constitute the entire agreement between you and us regarding the services and supersede any prior agreements or understandings.
